4. Quotes and Proposals
All quotations, proposals, estimates, and timelines are valid only for the period specified in the document unless otherwise stated.
Project commencement is subject to written approval and receipt of any agreed advance payment.
5. Client Responsibilities
The Client agrees to:

- Maintain ownership or authorization for all provided materials.

- Provide feedback within agreed timelines.
- Make payments according to the agreed schedule.
- Cooperate throughout the project lifecycle.
Delays caused by the Client may affect project timelines without liability to the Company.
6. Payments
Unless otherwise agreed in writing:
- Invoices must be paid by the due date.
- Advance payments are non-refundable once work has commenced, except where required by law or expressly agreed otherwise.
- Delayed payments may result in suspension of services.
- Outstanding balances may incur applicable late payment charges where permitted by law.
- Taxes, duties, or government charges are the responsibility of the Client unless stated otherwise.
7. Project Timelines
Estimated delivery dates are provided in good faith.
Timelines may change due to:
- Client delays
- Scope changes
- Third-party dependencies
- Technical issues
- Force majeure events
We will make reasonable efforts to keep the Client informed of significant schedule changes.
8. Scope Changes
Any work requested outside the agreed scope may require:
- Additional quotations
- Revised timelines
- Separate approval
- Additional payment
No additional work will commence until both parties agree to the revised scope where applicable.
9. Intellectual Property
Unless otherwise agreed in writing:
- The Client retains ownership of materials they provide.
- Xpro Digitals retains ownership of its proprietary methods, templates, frameworks, software, tools, know-how, and pre-existing intellectual property.
- Ownership of custom deliverables transfers to the Client after full payment, except for third-party licensed components and the Company’s pre-existing intellectual property.
10. Portfolio Rights
Unless restricted by a written confidentiality agreement, the Company may display completed work, project names, logos, or publicly available results in its portfolio, case studies, presentations, or marketing materials.
If the Client requires confidentiality, this must be agreed upon in writing before publication.
11. SEO and Marketing Disclaimer
Search engines, advertising platforms, and social media platforms regularly update their algorithms, policies, and ranking systems.
Accordingly:
- We cannot guarantee first-page rankings.
- We cannot guarantee specific keyword positions.
- We cannot guarantee a fixed number of leads, sales, or conversions.
- We cannot guarantee approval of advertisements by third-party platforms.
- We cannot guarantee uninterrupted website traffic.
Our commitment is to apply industry-recognized best practices and agreed strategies with reasonable skill and care.
12. Third-Party Platforms
Our services may involve platforms operated by third parties, including search engines, social networks, payment providers, hosting companies, and analytics tools.
We are not responsible for:
- Third-party outages
- Platform policy changes
- Account suspensions beyond our control
- Pricing changes by third-party providers
- Decisions made by external platforms
The Client remains responsible for complying with the terms of any third-party services they use.
13. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties except:
- With written permission
- As required by law
- To authorized personnel or service providers who need the information to perform the services and are bound by confidentiality obligations
14. Acceptable Use
You agree not to use our website or services to:
- Violate applicable laws
- Infringe intellectual property rights
- Distribute malware or harmful code
- Send spam or unauthorized communications
- Engage in fraudulent or deceptive conduct

- Materials supplied by the Client

- Infringement of third-party rights
- Breach of these Terms
17. Service Suspension and Termination
Either party may terminate services in accordance with the applicable service agreement.
The Company may suspend or terminate services where:
- Payments remain overdue
- The Client materially breaches these Terms
- Required cooperation is not provided
- Continued service would violate applicable law
Termination does not affect accrued payment obligations.
18. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, civil unrest, pandemics, labor disputes, cyberattacks, government actions, utility failures, or internet disruptions.
19. Privacy

20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
